These Terms and Conditions establish a binding and enforceable agreement (the "Terms") between you and WA&JA Web Enterprise, a micro-enterprise ("WA&JA", "WA&JA Studio", "WA&JA Content", "our", and "we"), governing your access and/or use, as a Client, Stakeholder, individual, business, visitor or otherwise, of the "WA&JA Studio" website and its affiliated sites, Relevant areas (including "WA&JA", "WA&JA Content"), (collectively, the "Site") and/or the services, properties and/or functionality available or provided on or through the Site and/or Partner Integrations (the "Services").
These Additional Terms include, but are not limited to:

Additional Terms may be incorporated into and deemed part of these Terms. In the event of any conflict between the Additional Terms and these Terms, these Terms shall control.
WA&JA, a global e-commerce micro enterprise whose main objective is to be the partner in branding, design, content creation and marketing for individuals, freelancers and small businesses.
WA&JA strives to achieve this goal through the wide variety of products and services offered and delivered through a growing range of WA&JA-specific services, including but not limited to WA&JA inspiration, WA&JA Studio and WA&JA Content (collectively, the "WA&JA Specific Services").
WA&JA's global e-commerce operation is underpinned by the collective efforts of WA&JA and certain of the companies, contractors or freelancers that WA&JA uses to provide some or all of the services that are offered (collectively, "WA&JA Affiliates").

ARTICLE 2: Purpose
The purpose of the present "general conditions of use" is to provide a legal framework for the provision of the services of "WA&JA" and the site "WA&JA Studio", and their use by the "User".
The general conditions of use must be accepted by all Users wishing to access the site and its online services.
They therefore constitute the tacit contract between the site and the User.
Access to the site by the User, thus signifies his acceptance, full and entire, of these general conditions of use of "WA&JA" and the site "WA&JA Studio".
Eventually :
In the event of non-acceptance of the general conditions of use stipulated in the present contract, the User must renounce access to the services offered by the site.
"WA&JA" and the sites "WA&JA Studio", reserve the right to unilaterally modify the content of these general conditions of use at any time.
ARTICLE 3: Definitions
The purpose of the present clause is to define the various essential terms of the contract:
User: this term refers to any person who uses the site or one of the services offered by the site.
User content: this refers to data transmitted by the User within the site.
Member: the User becomes a member when he/she is identified on the site.
Username and password: this is all the information required to identify a User on the site.
The login and password enable the User to access services reserved for members of the site, as well as information concerning him or her.
The password is confidential.
ARTICLE 4 : access to services
The site provides the User with free access to the following services:

[putting people in touch with each other].
Remote purchase/sale of products;
[publication of comments / personal works] ;

The site is accessible free of charge anywhere to any User with Internet access.
All costs incurred by the User to access the service (hardware, software, Internet connection, etc.) are at the User's expense.
4.1Depending on the case :
Non-member Users do not have access to services reserved for members.
To do so, they must create an account, then identify themselves using their login and password.
The site makes every effort to ensure quality access to its services.
As the obligation is one of means, the site does not undertake to achieve this result.
WA&JA" and the "WA&JA Studio" site shall not be held liable for any event of force majeure resulting in network or server malfunction.
Access to the site's services may be interrupted or suspended at any time.
The User undertakes not to claim any compensation following the interruption, suspension or modification of the present contract.

ARTICLE 5 : Project/Order
5.1 General information on Projects/Orders
The Client and "WA&JA" may collaborate on Projects/Orders following the acceptance of the Quotation which constitutes acceptance of this contract.
This contract will then be initiated by starting with the creation of a Statement of Work, accepting the project/order specific terms ("Project Terms") and following other instructions via the WA&JA, WA&JA Studio or WA&JA Content Sites which form a single platform, WA&JA.
5.2 Two types of Projects/Orders are currently offered:
(1) Project/Order [Fixed Price] and (2) Project/Order [Individual Price].
5.2.a Fixed Price Project/Order
The Client may initiate a Fixed Price Project by selecting a package containing Fixed Project Conditions ("Fixed Price Project Terms") and creating a Statement of Work.
WA&JA will invoice Client for the Project at a fixed price, including platform fees and other applicable fees. Once the Client has paid WA&JA's invoice, stakeholders and other affiliates may indicate their interest in collaborating on the Fixed-Price Project on behalf of WA&JA. The Client will choose a proposed project according to the Specifications. The Client and WA&JA stakeholders or affiliates shall collaborate in accordance with the Specifications and the Fixed Price Project Terms until the Client chooses a final Concept, which will be transferred from WA&JA to the Client as part of the performance of the Transfer Agreement between WA&JA and the stakeholders or affiliates, as specified between WA&JA, selected stakeholders or affiliates.
5.2.b Project/Order at Individual Prices
The Client can initiate an Individual Project by creating a Specification that will be presented to WA&JA. The Client and WA&JA may then discuss the Specifications and negotiate the Individual Price Project Terms ("Individual Price Project Terms").
Once the Client and WA&JA agree to an agreement regarding the Individually Priced Project Terms, WA&JA may solicit a stakeholder or affiliate and present the Client with a quotation containing the agreed price information for the Individual Priced Project (a "Quotation").
WA&JA will invoice Customer for the Quotation plus platform fees and other applicable fees.
Once the Client has paid the invoice from WA&JA, WA&JA will deliver the orders based on the Specifications.
The Client and WA&JA shall collaborate according to the Specifications, in parallel, WA&JA and the Contractor or Affiliate shall collaborate according to the Specifications implemented between the Client and WA&JA, according to the Client's project and the Project Conditions at individual prices until the Client selects a final project, that will be transferred from the Affiliate or Stakeholder to WA&JA, and from WA&JA to the Client in connection with the performance of the Transfer Agreement,
as specified between WA&JA and the Speaker or Affiliate.
5.3 Project/Order Dispute
The Client is only entitled to cancel a Project or an order and request a refund, if the WA&JA intervenor or affiliate has not delivered any order to WA&JA, not allowing WA&JA to deliver the order to the Client, once the 60-day period has passed after the Client Payment for the Project.
If WA&JA has delivered the order to the Client, and WA&JA and the Client are unable to reach an agreement on a final project/order, or the Client wishes to change the Project or Order Terms, cancel the Project, and/or request a refund (a "Project Dispute"), the Client may initiate a Project Dispute by notifying WA&JA via the Site. The Client must initiate a Project Dispute within 30 days of the Client's payment of the invoice to WA&JA, after which the Client loses the right to initiate a Project or Order Dispute, and receive a refund.
Following the initiation of a Project Dispute, Customer and WA&JA will make good faith efforts to reach a mutually agreed resolution for the resolution of such Project Dispute based on the Project Terms.
If, after a reasonable period of time, Customer and WA&JA are unable to agree on a mutually agreed resolution for the purpose of resolving the Project Dispute, WA&JA will determine the outcome of the Project Dispute in its sole discretion, including the amount of any refund to Customer.
If the Project/Order is cancelled for any reason, including if the resolution of a Project/Order Dispute does not result in the selection of a final Project/Order, Customer will not have the right to use the Project/Order and may be subject to prosecution for theft.
ARTICLE 6 : Payment Terms
The following conditions apply between Clients who have implemented one or more Project(s)/Order(s), and WA&JA (the Service Provider).
6.1 Payment from the Client; WA&JA Fees.
"Client Payment" means (i) the price chosen by the Client when the Client created a project request/order on the "WA&JA Studio" website; or (ii) WA&JA's invoiced price for the project/Order sold, based on the Fixed Price Project/Order Terms or Quotation issued by WA&JA's department at Customer's request. "WA&JA Fees" means the invoice issued to the Client by WA&JA for the Projects/Orders sold, less the Introduction and Platform Fees retained by WA&JA.
6.2 Refunds
WA&JA will refund the Customer's Payment (in accordance with Article 5.3) to WA&JA using the same payment method used by Customer to make the Customer's Payment to WA&JA or by such other means as may be specified by WA&JA from time to time in its sole discretion. If an amount due is refunded to the Customer or credited back to the Customer's credit card:
-(a) the Affiliate or Intervenor shall reimburse WA&JA for the applicable WA&JA Fees (reimbursement shall first be made from any WA&JA Credits held by the Affiliate or Intervenor, and the balance shall be paid upon demand by the Affiliate or Intervenor to WA&JA);
-(b) WA&JA shall reimburse the Fees for the work carried out by WA&JA at the request of the Client to WA&JA;
-(c) the Client shall initially collect the amount of the Client's Payment, less the Affiliate's or Intervenor's Fees, and shall recover the Affiliate's or Intervenor's Fees only once they have been reimbursed by the Affiliate or Intervenor to WA&JA. WA&JA may reimburse Clients for the following reasons:
-(i) the project/order sold is defective or illegal;
-(ii) WA&JA is required by law or believes it is required by law to do so;
-(iii) WA&JA believes that reimbursing the Client is necessary and mandatory as a result of its error;
(iv) WA&JA shall refund Customer in accordance with any refund policy it has published from time to time;
(v) the project/order placed (or the request made) by the Client is deemed to be fraudulent;
(vi) the Customer has placed the same order twice (or made the same request twice) in error;
(vii) WA&JA believes, in its sole discretion, that the refund is certainly necessary to avoid having to re-credit a credit card. A project/order sold will be considered
"Defective" or "Unlawful" if:
(i) the Client and WA&JA agree that it is defective and notify the affiliate or intervenor of such fact;
(ii) the Sold Project/Order is the subject of a claim by a third party that such Project/Order infringes or misappropriates that third party's copyright, and that such claim is plausibly justified, as determined by WA&JA in its sole discretion.
6.3 Terms & Conditions of Payment
Client Credits or WA&JA are convertible into local currency, depending on the location of access to the Site. You agree that you are responsible for collecting and/or paying all Taxes that you may be liable to pay in any country as a result of your sale or purchase of the services provided by WA&JA and sold on the Site. It is not WA&JA to collect, report, pay or remit such Taxes to you.
"Taxes" means all applicable duties and taxes on sales, general sales tax, VAT or any other taxes that may be claimed on any transaction provided for in these Terms.
6.4 Exclusivity and non-circumvention
Exclusivity You acknowledge and agree that WA&JA's revenues are derived from the proceeds of Customer Payments made on the Site or otherwise. For this reason, during the 24 months following the contact with WA&JA, whether or not a party via the Site (the "Exclusivity Period"), you shall exclusively use the WA&JA Services as the sole method of requesting, creating and receiving all payments for the work assigned, directly or indirectly, with such party or as a result of your relationship with such party through the WA&JA Services (the "WA&JA Relationship").
You may waive this obligation only if a Client or Prospective Client pays the "Withdrawal Fee" to WA&JA, calculated at the greater of $10,500. You must make a request by sending an email to WA&JA support, at: wa.e.ja.entreprise@gmail.com in order to make your request, and in the event of acceptance by WA&JA and the relevant party, to receive instructions regarding the payment of the Withdrawal Fee.
Any violation of exclusivity agreements would be punishable by prosecution for unfair competition.
6.5 Non-circumvention
You agree not to circumvent any payment methods offered by WA&JA. By way of example and not exhaustively, you must not:
-(a) Share any personal information on your profile (excluding websites and personal portfolios) via email, video, telephone or any other direct contact method.
-(b) Submit a request for proposals or solicit parties identified through the Site or through WA&JA to contact, hire, manage or pay outside of the Site.
-(c) Accept an offer or solicit parties identified through the Site to contact, offer services, bill, or receive payments outside of the Site or through WA&JA.
-(d) Cancel any Project/Order for the purpose of dealing separately with a WA&JA stakeholder or affiliate that the Client has met through the Site or WA&JA.
-(e) Charge or report on the Site or through a request for payment of the Withdrawal Fee, an invoice or payment of an amount less than that actually agreed between the Client and WA&JA.
You agree to notify WA&JA immediately if a third party or WA&JA member contacts you inappropriately, or suggests making or receiving a payment outside of the Site or WA&JA.

ARTICLE 7 : Renonciation
You hereby release us and WA&JA forever, and our prospective Affiliates, contractors, contractors, affiliates, intervenors and our/their officers, employees, agents, successors and assigns, from any and all past, present and future disputes, claims, controversies, demands, rights, obligations, liabilities, actions and causes of action of every kind and nature (including personal injury, death and property damage), which would directly or indirectly result from, or be related directly or indirectly, to your use of the Site and/or WA&JA Services, interactions or transactions between you and other Users or your acts or omissions in relation to other Users, including Customers, Affiliates, providers, contractors, affiliates, intervenors and our/their officers, employees, agents, successors and assigns, and third-party Sites or Advertisements (excluding damages directly caused by unlawful acts of WA&JA and duly proven).
ARTICLE 8 : Intellectual property
Trademarks, logos, signs and any other content on the site are protected by the French Intellectual Property Code, and more specifically by copyright.
The User requests prior authorization from the site for any reproduction, publication or copy of the various contents.
The User undertakes to use the contents of the site in a strictly private context.
Any use of the content for commercial purposes is strictly forbidden.
The User is solely responsible for any content posted online.
The User undertakes not to put any content online that could harm the interests of third parties.
Any legal action taken by a third party against the site will be borne by the User.
The User's content may be removed or modified by the site at any time and for any reason.
The User does not receive any justification or notification prior to the deletion or modification of User content.
ARTICLE 9 : Personal data
The information requested when registering on the site is necessary and mandatory for the creation of the User's account.
In particular, the e-mail address may be used by the site for the administration, management and animation of the service.
The site ensures that the User's personal information is collected and processed in compliance with the French Data Protection Act no. 78-17 of January 6, 1978.
In accordance with articles 39 and 40 of the law dated January 6, 1978, the User has the right to access, rectify, delete and object to his or her personal data.

ARTICLE 10 : Exclusion of liability; Mandatory statutory rights
10.1 Exclusion of liability
The Site and the Services are provided "AS IS" and "SUBJECT TO AVAILABILITY" and we (and our suppliers) expressly disclaim all warranties and conditions of any kind, express or implied, including, without limitation, warranties or conditions of merchantability, fitness for a particular purpose, title, use, accuracy or non-infringement. We (and our suppliers) make no warranty that the Site or Services will: (a) meet your expectations; (b) be uninterrupted, timely, secure or error-free; or (c) be accurate, reliable, free of viruses or other malicious code, complete, legal or error-free. Some jurisdictions may not allow the exclusion of implied warranties above, so the above exclusion may not apply to you.
10.2 Mandatory statutory rights
Some jurisdictions provide consumers and others with certain mandatory statutory rights (e.g., right to additional performance, right to a refund, right of withdrawal, etc.) that cannot be waived or limited by contract. These Terms provide for such mandatory statutory rights, if any, and shall not be construed to cancel, limit or abrogate such mandatory statutory rights.
10.2 Liability and force majeure
The sources of the information published on the site are deemed reliable.
However, the site reserves the right not to guarantee the reliability of sources.
The information provided on the site is for information purposes only.
The User therefore assumes sole responsibility for the use of the information and content on this site.
The User is responsible for keeping his/her password secret.
Any disclosure of the password, in whatever form, is forbidden.
The User assumes all risks associated with the use of his/her login and password.
10.3 The site declines all responsibility.
Any use of the service by the User resulting directly or indirectly in damage must be compensated by the site. The site cannot guarantee optimal security and confidentiality of transmitted data.
However, the site undertakes to use all necessary means to guarantee the security and confidentiality of the data provided.
The site cannot be held liable in the event of force majeure or the unforeseeable and insurmountable act of a third party.
10.4 Limitation of Liability
Generally.
In no event shall WA&JA, the WA&JA Studio website and/or our suppliers or licensors be liable to you or any third party for any loss of profits or indirect, consequential, incidental, special or punitive damages arising out of or in connection with these Terms or the use of or inability to use the Site or Services, even if we have been advised of the possibility of such damages.
Access to and use of the WA&JA Studio Site, the Services is at your own discretion and risk, and you assume full responsibility for any damage to your computer system or loss of data that results therefrom.
Notwithstanding anything to the contrary herein (subject to clause 7.3), our liability (and that of our suppliers) to you for damages arising out of or in connection with these Terms (regardless of the cause and regardless of the form of the action), will at all times be limited to the greater of (a) EU (100e) or (b) the amounts paid by you to WA&JA Web Enterprise via "WA&JA" in the preceding 12 months (if any). The existence of several claims will not be able to increase this limit.
In some jurisdictions, the limitation or exclusion of liability for incidental or consequential damages is not permitted and therefore the above limitation or exclusion may not apply to you and you may have other legal rights that vary from jurisdiction to jurisdiction.
ARTICLE 11 : Hypertext links
Many outgoing Hypertext links are present on the site, however the web pages where these links lead do not engage in any way the responsibility of " WA&JA" and the site " WA&JA Studio" which has no control over these links.
The User therefore refrains from holding the site responsible for the content and resources relating to these outgoing hypertext links.
ARTICLE 12 : Evolution of the contract
"WA&JA" and the site "WA&JA Studio" reserve the right to modify the clauses stipulated in this contract at any time.
ARTICLE 13: Duration
The duration of the present contract is indefinite.
The contract takes effect with regard to the User as from the use of the service.
ARTICLE 14 : Applicable law and jurisdiction
French law applies to the present contract.
In the event of failure to reach an amicable settlement of a dispute between the parties, only the courts within the jurisdiction of the Nice Court of Appeal shall have jurisdiction.
ARTICLE 15: Publication by the User
The site allows members to publish [comments / personal works].
In his publications, the member undertakes to respect the rules of Netiquette and the rules of law in force.
The site moderates [a priori / a posteriori] publications and reserves the right to refuse their publication online, without having to justify this to the member.
Members retain full ownership of their intellectual property rights.
However, by publishing a publication on the site, he/she transfers to the publishing company the non-exclusive and free right to represent, reproduce, adapt, modify, broadcast and distribute his/her publication, directly or through an authorized third party, throughout the world, on any medium (digital or physical), for the duration of the intellectual property.
In particular, the Member grants the right to use his or her publication on the Internet and cell phone networks.
The publishing company undertakes to display the member's name in close proximity to each use of his or her publication.
